Position Overview:

Diligent is seeking a qualified lawyer with 2-4 years of transactional experience for an in-house commercial Legal Counsel position based in Vancouver with an emphasis on drafting and structuring contracts with clients, prospective clients, and vendors. The role will also involve a variety of other corporate and commercial legal matters as they arise. The candidate must have excellent writing skills. First-hand experience in drafting agreements and handling a wide range of transactional matters is strongly preferred.

Key Responsibilities

  • Review, draft and negotiate a wide range of commercial contracts, including commercial subscription agreements, amendments, service level/support agreements, partnership agreements, consultant agreements, data processing agreements, and non-disclosure agreements.
  • Assume responsibility for the entire client contracting cycle, from initial draft to finalization and signature, driving contract negotiations to timely and successful completion.
  • Advise Product and Engineering teams on issues related to the development and rollout of new products and features throughout the product development lifecycle for Diligent’s governance, risk, and compliance offerings.
  • Identify legal issues in product development plans and customer agreements and work with the appropriate internal clients to create solutions and minimize risk.
  • Develop and administer internal processes to assist our internal clients, ensure quick delivery of legal services, and review compliance with legal requirements.
  • Work closely with internal clients and establish relationships with stakeholder departments, including Sales, Customer Success, Marketing, Finance, Product, Engineering, and Security.
  • Develop an understanding and knowledge of the enterprise software space.
  • Maintain superb attention to detail and provide timely legal support in a high volume, fast-paced environment.
  • Demonstrate a high level of professionalism and exercise outstanding business judgment with minimal supervision.

Required Experience/Skills

  • 2-4 years of transactional experience.
  • Experience reviewing and drafting contracts is required. International experience is a strong plus.
  • Experience with commercial contracts, in particular handling issues related to intellectual property and privacy/data protection. Experience in IT, procurement, data protection, software licensing or SaaS is a strong plus.
  • Foreign language fluency is a strong plus.
  • Excellent interpersonal skills with the ability to relate comfortably at all levels with our internal clients, both in Canada and internationally.
  • Highly motivated, strategic, detail-oriented individual with the ability to pro-actively organize a heavy workload and demonstrate excellent analytical abilities.
  • Proficiency in Microsoft Office (Word and Outlook) is required and proficiency in Salesforce, Coupa, Docusign and other related applications is highly desirable.

Pay Range

$114,000—$157,000 CAD
